Santiago, July 23, 2026 – At an Extraordinary Shareholders’ Meeting held this morning, the company approved a program to repurchase its own shares, with the aim of optimizing its capital structure and improving the return per share for Enel Américas shareholders.
On June 18, the Board of Directors proposed a share repurchase plan, an initiative based on analyses conducted by the company, which showed that the share price has been negatively affected by various factors—primarily external ones—including macroeconomic and regulatory factors, as well as market conditions in the various countries where Enel Américas operates, causing the share price to currently fail to reflect the value expected by the company.
Features of the approved program:
• The percentage to be acquired will be up to 5% of Enel Américas’ subscribed and paid-up shares.
• The program will last for 90 calendar days from the date of the Extraordinary Shareholders’ Meeting
• The Board of Directors was authorized to set the purchase price of the shares, based on the company’s weighted average share price during the 90 days prior to June 17, 2026, as quoted on the Santiago Stock Exchange, plus a premium of up to 15%.
Enel Américas emphasizes that this share repurchase program is part of its ongoing commitment to responsible financial management, underpinned by a solid and sustainable capital structure aimed at maximizing return on investment. Furthermore, this initiative will help improve earnings per share for shareholders while safeguarding the company’s financial stability and growth potential.
