Dividend Policy - Financial year 2023
General
The Board of Directors of the Company, in a meeting held on February 27th, 2023, approved the following Dividend Policy and the corresponding procedure for the payment of dividends of Enel Americas for the year 2023.
Dividend policy
The board intends to distribute an interim dividend against the earnings for 2023 of up to 15% of the earnings to September 30, 2023, as shown by the financial statements as of that date, payable in January 2024.
In addition, the Board of Directors intends to propose to the ordinary shareholders’ meeting, to be held in the first four months of 2024, the distribution of a final dividend equivalent to 30% of the earnings for 2023, discounting the interim dividend paid for the year 2023.
The final dividend will be defined by the ordinary shareholders’ meeting to be held during the first four months of 2024.
Compliance with this program will be subject, in the matter of dividends, to the earnings actually obtained by the company, trying to maintain the financial balance of the company.
Procedure for payment of dividends
For the payment of dividends, whether interim or final, and in order to avoid their improper collection, Enel Américas offers the following payment methods:
1. Deposit in a bank checking account, whose account-holder is the shareholder.
2. Deposit in a bank savings account, whose account-holder is the shareholder.
3. Virtual view voucher withdrawal at any branch of Banco de Crédito e Inversiones (BCI) throughout the country, or at the bank and its branches that are determined for this purpose and that will be reported in the notice published about the payment of dividends.
If the vale vista is not withdrawn, the nominative check is contemplated at the offices of DCV Registros S.A., in its capacity as manager of the registry of shareholders of Enel Américas S.A.
For these purposes, bank checking or savings accounts can be from any place in the country. It should be noted that the payment method chosen by each shareholder will be used by DCV Registros S.A. for all dividend payments, as long as the shareholder does not state in writing their intention to modify it and register a new option. Shareholders who do not have a payment modality registered will be paid according to modality No. 3 indicated above.
In the case of deposits in bank checking accounts, Enel Américas may request and/ or DCV Registros S.A., for security reasons, their confirmation by the respective bank. If the accounts indicated by shareholders are objected to, whether in a prior verification process or for any other reason, the dividend will be paid following the method indicated in 4 above.
The company has adopted and will continue to adopt in the future all the security measures required by the dividend payment process in order to safeguard the interests of the shareholders and Enel Américas.
